Vendor Agreement
Shope2i.com Vendor Agreement
1. Vendor Onboarding & Business Verification
The Vendor shall provide accurate business information, trade registration, VAT/Tax ID, and legal documentation as required by Shope2i.com to comply with Know Your Business Customer (KYBC) standards under the Digital Services Act.
Shope2i.com reserves the right to validate business information and to approve or suspend Vendor accounts at its sole discretion.
2. Product Listings & Quality
Vendors may offer products/services for sale on Shope2i.com, subject to Marketplace guidelines, applicable laws, and country-of-origin requirements.
All listings must be accurate, clearly described, and comply with Shope2i.com’s content moderation and prohibited item policies.
Shope2i.com may remove or restrict any listings that do not meet standards or violate regulations.
3. Orders, Shipping, and Fulfillment
Vendors are responsible for managing inventory, processing orders promptly, and ensuring reliable fulfillment and shipping per listed delivery timelines.
Shipping costs, tracking, and returns shall be handled in accordance with Shope2i.com’s customer policies and DSA requirements.
4. Payments & Fees
Shope2i.com will process payments for completed Vendor orders, deducting applicable marketplace commissions and/or fees.
Vendors shall be paid within [specified days, e.g. 7-14 business days] after order completion, subject to return and dispute resolution windows.
5. Liability & Insurance
Vendors must ensure all products and services meet legal and safety standards.
Shope2i.com may require proof of adequate liability insurance during the term of this Agreement.
Vendors are responsible for any damages, losses, or claims arising from defective, illegal, or misrepresented products.
6. Data Protection & DSA Compliance
Vendor agrees to comply with EU Digital Services Act (DSA), GDPR, and Shope2i.com data policies regarding customer information, removal of illegal products, moderation of reviews, and transparency in business practices.
Vendor listings must display required business information and respond to customer inquiries or claims promptly.
7. Termination
Either party may terminate this Agreement with [e.g. 30 days] written notice.
Shope2i.com may immediately suspend or terminate Vendor accounts in case of breach, fraud, nonperformance, or legal violations.
8. Dispute Resolution
Parties shall resolve disputes amicably. If unresolved, disputes may be submitted to mediation, arbitration, or courts in [jurisdiction].
Vendor has the right to appeal moderation or removal actions via Shope2i’s established complaint/appeal process.
9. Confidentiality & Intellectual Property
Parties shall maintain confidentiality of proprietary information shared during the agreement.
Vendor shall use Shope2i.com branding, tools, and integrations only as outlined by the Marketplace terms.
